Terms of Service

1. Acceptance

By using YoPay, whether as a customer interacting with a merchant's YoPay Agent or as a merchant using our platform, you agree to these Terms of Service. If you do not agree, do not use the service.

2. Who we are

YoPay is operated by Ajili Africa Ltd, a company registered in Kigali, Rwanda. YoPay provides WhatsApp commerce infrastructure for African businesses. Merchants use our platform to deploy a personal YoPay Agent that handles customer conversations, orders, and payments via WhatsApp. We are the platform provider. Each merchant is independently responsible for their products, services, pricing, and compliance with applicable law.

5. YoPay Agent and AI-generated content

Your YoPay Agent is trained on information you provide about your business. The Agent's responses are generated automatically. You are responsible for reviewing your Agent's behaviour and correcting any inaccurate or inappropriate responses promptly. YoPay is not liable for any loss caused by inaccurate Agent responses that you have not corrected after being made aware of them.

6. Payments

YoPay facilitates payment confirmation via MTN Mobile Money and Flutterwave. By using payment features you agree to the applicable terms of those payment providers. YoPay is not a bank or financial institution and does not hold, transfer, or guarantee customer funds. Payment disputes between customers and merchants are the responsibility of the merchant.

7. Fees and billing

Subscription fees are described on our pricing page. We may update fees with 30 days' written notice to active merchants. Continued use after a price change constitutes acceptance of the new fees.

8. Intellectual property

YoPay and its licensors own all intellectual property in the platform, including software, design, and documentation. You retain ownership of your business data (product catalogue, customer conversations initiated through your account). You grant YoPay a limited, non-exclusive licence to process your data solely to provide the service.

Both parties agree to keep confidential any non-public information received from the other in connection with this agreement, and to use it only for the purpose of performing obligations under these Terms.

10. Disclaimers

The service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free availability. WhatsApp service availability is subject to Meta Platforms' infrastructure and policies, which are outside our control. We will make reasonable efforts to notify merchants of planned downtime.

11. Limitation of liability

To the maximum extent permitted by the laws of Rwanda, YoPay's total liability to you for any claim arising out of or related to these Terms or the service shall not exceed the fees you paid us in the three months immediately preceding the event giving rise to the claim. YoPay is not liable for indirect, incidental, special, or consequential damages, including loss of profits or loss of data.

12. Indemnification

You agree to indemnify and hold harmless Ajili Africa Ltd, its directors, employees, and agents from any claims, damages, or costs (including legal fees) arising from your use of the platform, your YoPay Agent's content, your breach of these Terms, or your violation of any applicable law or third-party rights.

13. Termination

Either party may terminate the service agreement at any time with 14 days' written notice. YoPay may suspend or terminate your account immediately and without notice in the event of material breach of these Terms, violation of Meta's policies, or conduct that poses a legal or reputational risk to YoPay or other merchants. Upon termination, your data will be retained for 90 days in case of dispute, then deleted unless otherwise required by law.

14. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of Rwanda. Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Kigali, Rwanda.

15. WhatsApp and Meta

YoPay operates as a Business Solution Provider on Meta's WhatsApp Business Platform. We deliver outbound and inbound WhatsApp messages on behalf of merchants using the WhatsApp Business Cloud API provided by Meta Platforms, Inc. Merchants grant YoPay access to their WhatsApp Business Account via Meta's Embedded Signup flow.

Use of YoPay does not create any relationship between you and Meta. Your use of WhatsApp is independently subject to Meta's WhatsApp Business Policy, WhatsApp Commerce Policy, and the WhatsApp Business Solution Terms. YoPay is not affiliated with or endorsed by Meta Platforms, Inc.

16. Changes

We may amend these Terms at any time. Updated Terms will be posted here with a new "Last updated" date. Active merchants will be notified by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.
